Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by DinePro ("DinePro," "we," "us," or "our"), including our website, QR-code-based ordering platform, AI ordering assistant, and related applications. By accessing or using DinePro, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing or using DinePro's services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you may not use our services.
These terms apply to all users of DinePro, including:
- Restaurant operators. Businesses that subscribe to DinePro to manage orders, tables, and payments.
- Staff. Restaurant employees who use the DinePro staff app or admin dashboard.
- Guests (diners). Individuals who place orders through the DinePro ordering interface.
2. Use of Service
DinePro provides a QR-code-based ordering platform that enables restaurant guests to browse menus, place orders via AI chat, and complete payments through Square. Restaurant operators use DinePro to manage orders, tables, waitlists, and analytics.
You agree to use DinePro only for lawful purposes and in accordance with these terms. You may not use the service to transmit harmful, offensive, or illegal content.
3. Acceptable Use Policy
You agree not to use DinePro for any purpose that is unlawful or prohibited by these terms. Specifically, you agree not to:
- Attempt to gain unauthorized access to DinePro's systems, servers, or networks
- Interfere with or disrupt the integrity or performance of the service
- Reverse engineer, decompile, or disassemble any part of DinePro's software
- Use automated scripts, bots, or scrapers to access the service without our written permission
- Transmit any viruses, malware, or other harmful or abusive code
- Impersonate another person or entity, or misrepresent your affiliation with any person or entity
DinePro reserves the right to suspend or terminate access for any user who violates this Acceptable Use Policy.
4. Guest and Diner Disclaimer
DinePro is a technology platform that facilitates ordering and payment between guests (diners) and restaurants. DinePro is not a restaurant, food provider, or food delivery service.
Restaurant responsibility
The restaurant is solely responsible for:
- The quality, safety, preparation, and accuracy of all food and beverages served
- Compliance with local health and safety regulations
- Accurate representation of menu items, including allergen information
- Verifying the legal drinking age of guests ordering alcohol
Any issues related to food quality, allergens, dietary restrictions, or health concerns should be directed to the restaurant. The contractual relationship for the purchase of food and beverages is between the guest and the restaurant, not between the guest and DinePro.
DinePro makes no warranties or representations regarding the food, service, or dining experience provided by any restaurant using our platform.
5. AI Ordering Assistant
AI disclosure
DinePro uses an AI-powered assistant to help guests browse menus and place orders. The AI assistant is not a human. It is clearly labeled as an AI assistant in the chat interface, in compliance with California SB 1001 and EU AI Act transparency requirements.
Menu information and allergens
Menu information provided by the AI assistant — including descriptions, ingredients, and dietary labels — is based on data entered by the restaurant. The AI assistant is not a substitute for restaurant staff.
- Allergen disclaimer. For food allergies and dietary restrictions, guests should always verify directly with restaurant staff before ordering. The AI will share what is listed on the menu but cannot guarantee accuracy of allergen information.
- Persistent notice. A visible disclaimer reminding guests to verify allergen concerns with staff is displayed throughout the chat session.
Alcohol ordering
By ordering alcoholic beverages through DinePro, you confirm that you are of legal drinking age in your jurisdiction. A one-time age confirmation prompt is displayed before the first alcoholic item is added to your order. The restaurant reserves the right to verify age and refuse service.
6. Accounts and Registration
Restaurant operators must create an account to use DinePro. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You agree to:
- Provide accurate and complete information when creating your account
- Update your information promptly if it changes
- Notify us immediately of any unauthorized use of your account
- Not share your account credentials with unauthorized individuals
7. Payment Terms
Guest payments
DinePro facilitates payments between guests and restaurants through Square. All payment processing is subject to Square's terms of service and merchant agreement. DinePro does not process or store payment card data.
Restaurant operator fees
Restaurant operators are responsible for applicable subscription fees, which are outlined in the DinePro pricing agreement. Subscription billing is processed through Stripe.
- Pricing changes. DinePro reserves the right to modify pricing with 30 days' written notice.
- Failed payments. If a subscription payment fails, we will attempt to retry and notify you. Continued failure may result in service suspension.
8. Intellectual Property
DinePro and its original content, features, and functionality are owned by DinePro and are protected by copyright, trademark, and other intellectual property laws.
You may not copy, modify, distribute, or create derivative works based on DinePro's software or content without prior written consent.
9. Limitation of Liability
DinePro is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the service will be uninterrupted, error-free, or secure.
To the maximum extent permitted by law, DinePro shall not be liable for any indirect, incidental, special, or consequential damages arising out of your use of the service, including but not limited to:
- Loss of revenue or anticipated profits
- Loss of data or business interruption
- Food-related illness or injury (which is the restaurant's responsibility)
- Errors or inaccuracies in AI-generated menu information
- Payment processing failures handled by Square or Stripe
10. Indemnification
You agree to indemnify, defend, and hold harmless DinePro, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising out of or in connection with:
- Your use or misuse of DinePro's services
- Your violation of these Terms of Service
- Your violation of any applicable law or regulation
- Any content you submit or transmit through the service
- Any dispute between you and a restaurant or guest arising from use of the platform
11. Termination
Voluntary termination
Either party may terminate this agreement at any time with 30 days' written notice.
Termination for cause
DinePro may suspend or terminate your access immediately if you violate these terms, engage in fraudulent activity, or pose a security risk to our platform.
Effect of termination
Upon termination, your right to use DinePro ceases immediately. We will retain your data for 90 days after termination, after which it will be permanently deleted unless required by law. You may request earlier deletion by contacting privacy@dinepro.io.
12. Changes to Terms
We may update these terms from time to time. We will notify you of material changes by email or through a notice on our website at least 30 days before the changes take effect.
Your continued use of DinePro after updated terms take effect constitutes acceptance of those terms.
13. Governing Law
These terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
Any disputes arising from these terms or your use of DinePro shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in San Francisco, California.
